The following is a biographical summary of each of the directors and organizers of RockBridge Commercial Bank.

Charles S. Ackerman Charles Ackerman is founder and Chairman of Ackerman & Co., one of the leading full-service commercial real estate companies in the southeastern United States. Mr. Ackerman has developed more than six million square feet of office, retail, and residential projects over the past 30 years. Mr. Ackerman's creativity and insight in commercial development have made him the recipient of numerous awards for architectural and design excellence. Mr. Ackerman currently serves on thirteen boards. He earned a Bachelor of Science in Marketing from the University of North Carolina, Chapel Hill, a law degree from Emory University's School of Law, and attended the Graduate School of Anthropology at Georgia State University.

Carll S. Burr III Carll Burr has worked in the development and sales of residential real estate since 1976. His companies have developed and sold residential properties in Long Island, New York, Venice, Florida and Rangeley, Maine. Mr. Burr has also served in senior management positions for Coldwell Banker and Merrill Lynch Realty. Mr. Burr founded Preferred Empire Mortgage, a licensed New York mortgage brokerage firm serving Long Island, New York. In December 2002, Mr. Burr began pursuing residential development and sales in Venice, Florida. Mr. Burr currently works with his family owned companies, acquiring and developing properties for residential development in the Venice, Florida and Rangeley, Maine markets. A native of Long Island, New York, Mr. Burr graduated from Parsons College then joined the United States Air Force and was commissioned as an Officer in December of 1971. He then was assigned to attend combat crew training school and, upon completion, became an interceptor fighter pilot. Mr. Burr additionally served in the New York Air National Guard, and the New Jersey Air National Guard. Mr. Burr and his wife maintain residences in New York, Florida, and Maine and have four children.

Bud Carter Bud Carter is a native of the metro St. Louis, Missouri area and a graduate of the University of Missouri where he accomplished degrees in Social Psychology and Journalism. Following college, Mr. Carter spent 20 years in journalism as a Radio and then Television News Director and anchorman in central Kansas, Kansas City (where he won the University of Kansas' Broadcaster of the Year award) and Peoria, Illinois. In 1978 he became Publisher/Editor/partner of a business and issues oriented weekly newspaper and General Manager /partner of a radio station, both serving Peoria, Illinois. Mr. Carter was recruited to Atlanta in 1982 to open the regional office of the nation's largest corporate outplacement company, and several years later started his own firm with a partner. In 1986, he was recruited to be the first metro Atlanta Chairman for the world's largest CEO membership organization, The Executive Committee. Mr. Carter serves on the board of directors of Creative Storage Systems, Wells Real Estate REIT I, Wells REIT II, and the publicly traded Wells/S&P REIT Index Fund. Mr. Carter has also served on the boards of WaveBase9 and DiversiTech.

John W. Collins John Collins is the chief executive officer of Assuris, a company that provides information technology compliance programs to assist financial institutions with security management. Mr. Collins was co-founder of InterCept, Inc., a bank data processing company formed in 1986 and sold to Fidelity National Financial in November 2004. He has also served as a director of Nexity Bank, Birmingham, Alabama, since 1999. Mr. Collins has over 27 years of experience in various aspects of e-commerce for community financial institutions.

James S. Grien Mr. Grien is a managing director and partner of TM Capital Corp., a merchant banking and financial advisory firm based in New York and Atlanta. Prior to joining TM Capital in 2001, Mr. Grien was managing director and head of Corporate Finance for Prudential Securities Investment Banking. Mr. Grien joined Prudential in 1989 and subsequently founded and headed the firm's Southeastern Regional and Consumer Industries Investment Banking Groups before assuming overall responsibility for the firm's Corporate Finance group. While at Prudential, Mr. Grien was responsible for a diverse group of middle market client relationships which resulted in nearly 200 completed transactions valued at over $15 billion. Previously, Mr. Grien was a Vice President at Thomson McKinnon Securities Inc.

Mr. Grien is a 1980 Summa Cum Laude graduate of the University of Pennsylvania and the Columbia University School of Law, where he was a Harlan Fiske Stone Scholar. Mr. Grien currently serves on the Advisory Board of Sherbrooke Capital, The Marcus Foundation (Trustee), The Georgia Aquarium (Finance Chair-Director), Hands On Atlanta (Chairman-Advisory Board), The Hebrew Benevolent Congregation (EVP-Trustee), Devereux Georgia (Director), and Odyssey (Director). He was awarded the prestigious Citizen of Service award by Hands On Atlanta in 2000 and was honored with the 2001 Star of David Award by the Industry and Commerce Division of Israel Bonds. Mr. Grien and his wife, Lauren, live in Atlanta with their three children, Katie, Emily and Dylan.

David F. Hanson David Hanson was born in Newnan, Georgia, and has always lived in the Atlanta metropolitan area. After graduating from Campbell High School in Fairburn in 1960, he attended the Georgia Institute of Technology, graduating in 1965 with a Bachelor of Mechanical Engineering, Co-op Plan. Mr. Hanson joined Spotswood Parker upon graduation as a full time Sales Engineer and developed the commercial plumbing products division. In 1973 Spotswood Parker bought the SyncroFlo product line and Mr. Hanson was made President of the subsidiary corporation. Mr. Hanson has broad experience in commercial construction and general business knowledge. He has been a principal in over twelve acquisitions and divestitures, served on several corporate boards, chaired several national industry committees, and been a principal speaker at national conventions. He has been a member of The Executive Committee for fourteen years, and is known as an industry expert on commercial plumbing systems. Mr. Hanson is a Registered Professional Engineer, served on the Governor's committee to write the Georgia State Plumbing Code, earned the Fellowship Award from the American Society of Sanitary Engineers, the Industry Award from the American Society of Plumbing Engineers, served as Vice Chairman of the Planning and Zoning Board of Berkeley Lake, and President of Forest Hills Homeowners Association. Mr. Hanson is a volunteer speaker for the Americans for Fair Taxation, a past Cub and Boy Scoutmaster and an ordained Deacon in the Presbyterian Church.

Charles M. Lipman Charles Lipman, a native of Charleston, SC, graduated with a BS degree in 1963 and with a JD in law in 1966 from the University of South Carolina. Mr. Lipman practiced law in the Atlanta metropolitan area from 1969 until 1983. He is currently CEO of DiversiTech Corporation, an international manufacturer of products for the air conditioning industry. Mr. Lipman has served on the Board of Directors for the Atlanta Chapter of the Cystic Fibrosis Foundation and has also served on the DeKalb County Zoning Appeals Board.

William S. Porter Bill Porter practiced as a certified public accountant in Atlanta for over two decades, with experience in the financial reporting and tax disciplines of financial institutions, public companies and large privately held companies and wealthy individuals. He began to work with formal business valuations in the mid 1980s, and combines business, financial reporting, tax and valuation disciplines through his practice with Valuation Econometrics, LLC. Mr. Porter also holds the Accredited Senior Appraiser designation with the American Society of Appraisers. From 1977 through December 2000, Mr. Porter was a partner in the firm Porter Keadle Moore, LLP.

Lawrence A. Smith Larry Smith was employed at The Home Depot, the world's largest home improvement retailer and second largest retailer in the United States, from 1983 through 2002. For the first seventeen years of employment, Mr. Smith served as the company's General Counsel. From 2000-2002, Mr. Smith was the Senior Vice President-Executive Services. Since 2002, Mr. Smith has been a partner in GreenSky Financial, an asset based lender and a real estate investor through various companies. Prior to working for The Home Depot, Mr. Smith was employed by Grumman Allied Industries, Inc. from 1978-1983 as Corporate Counsel, from 1976-1978 in the office of the City of New York Corporation Counsel and from 1969 through 1976 Mr. Smith was employed by GEICO Insurance Company as a claims adjuster. Mr. Smith is a 1969 graduate of the University of Bridgeport, Bridgeport, CT and received his law degree from Brooklyn Law School, Brooklyn, NY in 1975. Mr. Smith is an active member of the community and serves on civic boards of Kennedy-Kreiger Foundation, Accion USA and the Marcus Foundation. Mr. Smith serves on the executive committee of the Board of Trustees of the Devereux Foundation and is the chairman of the Devereux Georgia Advisory Board. The Devereux Foundation is the parent company of the Devereux Centers, which provides services for over 15,000 people with emotional, developmental and educational disabilities in facilities located in eleven states.

Dr. D. Arnold Tillman Dr. Tillman was born in Marietta, Georgia in 1961. He holds degrees in business administration (BBA Kennesaw State university 1984) and medicine (MD Mercer University 1995). He served as an organizing director of First Community Bank and Trust of Bartow County and First Community Bancorp, Inc. Dr. Tillman was approved by the OCC, FDIC, and Federal Reserve as Chairman of SouthernBank, NA and Chairman and CEO of SouthernBank Holdings, Inc. in Buford, Georgia in 2000. He served as a director of Bank Capital Management, LLC during 2003 and 2004 and is the proposed Vice Chairman of Rockbridge Commercial Bank (In Organization). He has been licensed as a mortgage broker in Florida since 2002. Outside of the banking environment Dr. Tillman has an aeromedical consulting practice and is designated by the FAA as a Senior Aviation Medical Examiner. He also owns a controlling interest in various construction, real estate brokerage, and development companies in Cartersville. He holds a Georgia real estate broker's license and medical licenses in both Georgia and Florida.

David Zalik David Zalik is the co-founder and a partner of GreenSky Financial, a company that provides accounts receivable financing. Mr. Zalik founded his first company, MicroTech Information Systems at the age of fourteen while in college at Auburn University. Since then, he has co-founded Phoenix, LLC (Commercial Real Estate Investments), Outweb, Inc. (Business Technology Automation) and PeopleRock (Employee Staffing and Recruitment). Mr. Zalik has served on the Board of Directors of Hands on Atlanta, the Jewish Federation of Greater Atlanta, and the Marcus Jewish Community Center. Mr. Zalik co-founded The Resource Institute, a non-profit organization dedicated to helping small, minority and women owned businesses. Mr. Zalik was the recipient of the 2000 Abe Schwartz Young Leadership Award.
